ONLINE ACCOUNTS:

• Crazy Lazy Decor may in its sole discretion provide its clients, representatives and associates online access to restricted portions this website. Users with online accounts are solely responsible for protecting the confidentiality of any logon information and any actions or inactions in connection with such account.
• By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
• You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws).
• You must not transmit any worms or viruses or any code of a destructive nature.
• A breach or violation of any of the Terms will result in an immediate termination of your Services.

ORDERING:

• When placing an order be sure ALL information is provided, including design name or number, color, all shipping instructions and sidemarks.
  Order cannot be cancelled after fabric has been cut.
• If an exact color match is required, please request a cutting of present stock for approval (CFA) or send a cutting to be matched.
• Color variations often cannot be avoided from one dye lot to another.
  Time can be saved if you specify the end use for which the fabric is intended; and if it is for draperies, please specify the lengths needed.
• Please make a note for Multiple Width Draperies-Fabric, unlike paper, is not a completely stable substance; therefore it cannot be guaranteed when it is printed, the pattern will invariably be completely “square” upon the cloth.
• Although every effort is made when printing to avoid distortion, occasionally it will exist. Therefore, when planning multiple-width draperies, please make certain, BEFORE CUTTING, that pattern alignment is adequate to produce a satisfactory end result.
• Please order an additional 1 yard, per cut, to ensure sufficient fabric after working loss.
• A minimum of 10 yards in any particular color must be ordered for it to be shipped on a tube. Otherwise, orders less than 10 yards may be cut and folded. Minimum order (6) six yards.
• The products are not intended for use in the manufacture of wearing apparel.
• Please specify shipping instructions. Shipments will be routed by the carrier we deem most expedient.

INQUIRIES:

• When inquiring about an order always be sure to reference the SKU, design name and number, color and yardage required.

RETURNS & CLAIMS

• No returns will be accepted without a written return authorization (RMA) from Crazy Lazy Decor.
• Returns are authorized only for faulty product, wrong product delivered, and wrong quantity delivered.
• Yardage must be inspected for flaws and correctness of pattern, design, color, quantity and quality and in case of incorrectness must be informed to us within 15 days of merchandise delivered. Fabric cannot be returned if it has been processed by the purchaser in any way.
• No returns or cancellations will be accepted on any custom product or special order items once the order is in production.
• Since color variations often cannot be avoided from one dye lot to another, we will not issue a refund for dye lot variations. If an exact match is required, please request a reserve and cutting of current stock for approval prior to shipping.
• Return authorization requests must include the invoice number, date of invoice and reason for the return. All requests for return must be made within 15 days of merchandise delivered.
• Any authorized returns for 1st quality merchandise or any refused shipments are subject to a 25% restocking fee and all freight charges.

QUALITY LIMITATIONS:

• Fabrics are not guaranteed against color fading, shrinkage or wear.
  Fabric widths and repeats may vary.
• Fabrics used as draperies, when held against light, cannot be guaranteed to be free of visible flaws.
• Few fabrics are completely stable. Stretching or shrinking may occur as a result of fabric breathing and thereby absorbing moisture. A 2% – 3% change is reasonable.

APPLICATION & USE OF FABRICS:

• Crazy Lazy Decor assumes no responsibility, liability, guarantee, or warranty for the performance and durability of fabrics used for purposes other than specified or indicated on the sample material.

SPECIAL PROCESS AND SERVICES:

• The addition of topical and back coating treatments to any fabric can change the color, hand or performance. Crazy Lazy Decor will not accept responsibility for any fabric that has been processed by an outside finisher.
• Please order an additional 1 yard, per cut, to ensure sufficient fabric after working loss.

MODIFICATIONS TO THE SERVICE AND PRICES:

• Prices for our products are subject to change without notice.
• We reserve the right at any time to modify or discontinue a Service or Product (or any part or content thereof) without notice at any time.
• We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.

ACCURACY OF BILLING AND ACCOUNT INFORMATION:

• We reserve the right to refuse any order you place with us. We may, in our sole discretion, limit or cancel quantities purchased per person, per household or per order. These restrictions may include orders placed by or under the same customer account, the same credit card, and/or orders that use the same billing and/or shipping address. In the event that we make a change to or cancel an order, we may attempt to notify you by contacting the e-mail and/or billing address/phone number provided at the time the order was made. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by dealers, resellers or distributors.

SALES TAX:

• By law, Crazy Lazy Decor is required to collect sales tax in any state or jurisdiction where we have a corporate office and/or showroom or may otherwise be doing business. Sales tax charges are based on the state or jurisdiction the orders are shipped to, and not the state or jurisdiction the business resides in. Customers who provide us with a valid resale tax certificate are not charged sales tax when goods are shipped into that state. By entering into a Terms and Conditions agreement with Crazy Lazy Decor, you acknowledge and agree that you are responsible for being in compliance with all applicable state and federal laws, including responsibility for paying all applicable state and local taxes imposed on the distribution/sales of any applicable products. You also acknowledge and agree that you are required to provide a State Resale Certificate or Exemption form to Crazy Lazy Decor at contact@crazylazydecor.com to be considered tax exempt in a specific state or jurisdiction. Crazy Lazy Decor and its subsidiaries is not responsible for those taxes that you are legally required to pay or collect from consumers at the point of sale. Crazy Lazy Decor does not warrant the operation and validity of the resale certificate. It is your responsibility to provide Crazy Lazy Decor with a valid and appropriate “Resale Tax Exemption Certificate”, to demonstrate under applicable law that products sold and delivered to you are delivered for resale in the ordinary course of business and therefore not subject to sales or other applicable tax, if any at the time of sale from Crazy Lazy Decor to you.

RETURNED PAYMENTS:

A service charge of $50.00 will be applicable for any returned check or ACH/Electronic Payment transaction.

REVOCABILITY:

• When invoices are past due, Crazy Lazy Decor, at its own discretion, retains the right to hold shipments pending payment. Crazy Lazy Decor may also place the applicant on Proforma or other cash terms for failure to pay within terms.

LIMITED OF LIABILITY:

• All merchandise is sold on the condition and understanding that the limit of the liability of Crazy Lazy Decor is an amount not to exceed the invoiced wholesale selling price of the defective merchandise.
• You hereby acknowledge that the preceding limitation on liability will apply to all content, merchandise and services available through the Sites or other channels. Because of some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, in such jurisdictions liability, is limited to the fullest extent permitted by law. Regardless of the previous paragraphs, if Crazy Lazy Decor is found to be liable, our liability to you or to any third party is limited to the greater of (a) the amount in dispute not to exceed the total invoice amount (net price) giving rise to the liability or (b) CAD $100.
• In no event will Crazy Lazy Decor or its officers, managers, members, employees, agents, successors, subsidiaries, distributors, affiliates or third parties providing information on this site or via other channels, including but not limited to phone and email, be liable to any user of the sites or any other person or entity for any direct, indirect, special, incidental, punitive, consequential or exemplary damages (including, but not limited to, damages for loss of profits, loss of data or loss of use) arising out of the use or inability to use the sites or any information contained therein, including user content, whether based upon warranty, contract, tort, or otherwise, even if Crazy Lazy Decor has been advised of or should have known of the possibility of such damages or losses.

LITIGATION:

• In the event of any litigation arising out of this agreement, the applicant agrees to pay all reasonable attorney fees and other costs of collection.

WAIVER:

• The failure of Crazy Lazy Decor to enforce any provision of this agreement does not waive Crazy Lazy Decor’s rights to enforce the remaining provisions of this agreement.

INTELLECTUAL PROPERTY RIGHTS:

• The Sites contain valuable trademarks and service marks owned and used by Crazy Lazy Decor, including but not limited to, Crazy Lazy Decor, the Crazy Lazy Decor design logo, and the tag line “Sewing decor to life “(collectively, “Crazy Lazy Decor “). Any use of the Crazy Lazy Decor Marks without the prior written permission of Crazy Lazy Decor is strictly prohibited. The arrangement and layout of the Sites, including but not limited to, the Crazy Lazy Decor Marks, images, text, graphics, buttons, screenshots, music, digitally downloadable files, and other content or material (collectively, the “Site Content”), are sole and exclusive property of Crazy Lazy Decor.
• UNAUTHORIZED COPYING, REPRODUCTION, MODIFYING, REPUBLISHING, UPLOADING, DOWNLOADING, POSTING, TRANSMITTING, MAKING DERIVATIVE WORKS OF OR DUPLICATING ALL OR ANY PART OF THE SITES IS PROHIBITED.

DISPUTE:

• Your use of the Site is unauthorized in any jurisdiction that does not give full effect to all provisions of the Terms. Crazy Lazy Decor makes no representation or warranty that Materials and Content on the Site are appropriate or available for use in any particular jurisdiction. Use of the Site in any jurisdiction where all or any portion of the Site might violate any legal requirements is prohibited and you agree not to access the Site in any such jurisdiction. You are responsible for complying with all applicable laws. Any use in contravention of any provision of the Terms is at your own risk.
• You agree that these Terms and your use of the Site will be governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. You hereby consent to the exclusive jurisdiction and venue of the courts, tribunals, agencies, and other dispute resolution organizations in Montreal, Quebec, and will be conducted in the English language, in all disputes (i) arising out of, relating to, or concerning these Terms, the Site, and your use thereof; (ii) in which the Site and/or these Terms are an issue or a material fact; or (iii) in which the Site or these Terms are referenced in a paper filed in a court, tribunal, agency, or other dispute resolution organization. You agree to waive, to the fullest extent allowed by applicable law, any claims for punitive or exemplary damages and any right to pursue claims on a class or consolidated basis or in a representative capacity, which relate in any way to the Site or these Terms. Regardless of the previous paragraphs, if Crazy Lazy Decor is found to be liable, our liability to you or to any third party is limited to a) CAD $100 or b) Invoice amount of the particular purchase which ever is lower.

DISCLAIMER:

• The Site is provided on an “AS IS,” “as available” basis. We do not warrant that your use of the Site will be uninterrupted or error-free. We do not warrant the accuracy, integrity, or completeness of the Content provided on the Site, or the products or services offered for sale on the Site. We make no representation that Content provided on the Site is applicable or appropriate for use in locations outside of Canada. We specifically disclaim warranties of any kind, whether expressed or implied, including but not limited to warranties of title, implied warranties of merchantability or warranties of fitness for a particular purpose. No oral advice or written information is given by us shall create a warranty. You expressly agree that your access to, viewing of, browsing, visiting or use of the Site is at your sole risk. Under no circumstances shall we be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of or inability to use the Site, including but not limited to reliance by a user on any information obtained at the Site, or that result from mistakes, omissions, interruptions, deletion of files or e-mail, errors, defects, viruses, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorized access to our records, programs or services. Further, we are not liable for any direct, indirect, incidental, special, or consequential damages (including but not limited to lost opportunity costs, purchase of replacement product/s, and/or time of assembly) arising or resulting from your receipt of incorrect or incomplete product/s that you received as a result of a purchase on the Site. The foregoing limitation of liability shall apply whether in an action at law, including but not limited to contract, negligence, or other tortious action; or an action in equity, even if one of our authorized representatives have been advised of or should have knowledge of the possibility of such damages. You hereby acknowledge that this paragraph shall apply to all Content, merchandise, and services available through the Site. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in such states liability is limited to the fullest extent permitted by law. Although we take to ensure the accuracy and completeness of product and third-party service description posted on the Site, please refer to the manufacturer or Associates for details. The products on our Site are intended for personal, not commercial or business use unless otherwise indicated. As such, you assume the risk when purchasing products for a commercial or business use or application.
